ACCELERATION invests through a variety of transaction structures, including management buyouts, recapitalizations and growth equity. Typically our investments result in majority ownership stakes, although we also consider significant minority investments. We partner with business leaders to rapidly grow companies and build shareholder value in numerous ways, including:

Business Characteristics

Acceleration's investments are predicated upon proven and differentiated businesses with significant potential for continued growth. We target investments with the following characteristics:

• Seasoned and proven management team with meaningful financial commitment

• ositive historical free cash flow

• easonable free cash flow margins and return on assets

• Traditional / basic businesses

• Niche market position / potential for market leadership

• Defensible competitive advantages

• Potential for significant improvement through growth initiatives

• Reasonable exit alternatives

• Located in and around the Edmonton area (but we frequently consider exceptional businesses elsewhere in Canada with the presence of a strong local investment partner)

ACCELERATION seeks equity investments of $.25 to 3 million, although we have participated in investment syndicates for larger investment amounts. Our investments typically have the following financial characteristics:

• Revenues exceeding $1 million

• Purchase price between $.750 and $10 million
